Calendar & Event Management - Directors Desk provides a solution for centrally managing board-related events. It includes an online calendar for each director that shows all board meetings as well as other relevant events. It also allows individuals with permission to create a meeting or event. The calendar and event management solutions include SmartAgenda™, an interactive tool for creating an online agenda with links to all relevant files, and File List, which displays all files associated with the meeting. Collaboration Tools - Provide a set of collaboration tools to streamline the full range of board communications.
The online application takes a proactive approach to keeping directors informed with 24/7 access to key resources.
Dashboard - Each director has a homepage; accessible from his or her favorites menu or a computer desktop icon – that includes a at-a-glance overview of board-related matters. On one screen, directors can see: late-breaking announcements new content for review, items requiring votes or discussion scheduled board, committee and other meetings.
Discussion Boards - Discussions allow committee members and other groups of individuals to carry on a dialogue in between regularly scheduled meetings. Discussion forums are closed and private; individuals outside of those who are specifically invited cannot even see that a discussion is taking place.
Document Management - Corporate secretaries create an agenda online using the SmartAgenda™ tool, which creates an online agenda that is automatically linked to supporting documents and their agenda items.
SmartAgenda™ enables directors to consolidate any number of separate documents into a single file, which can be reviewed later offline.
Mobile Applications: Directors Desk HD iPad app and Directors Desk Windows 8 Edition app - NASDAQ OMX Corporate Solutions now offers Directors Desk for both iPad as well as a Windows 8 Edition app.
Email - Directors Desk is an embedded web-based email system for the board. Email is 100% compliant with new Sarbanes-Oxley Section 802 document retention regulations, requiring that emails be afforded some level of document retention. The system also allows for full document destruction, as only ONE copy of Email messages exist.
Voting & Surveys - Directors Desk offers an online voting/approving module that clients use for unanimous consents and officially binding votes. The vote functionality allows each director to click on a “Cast Vote” button to vote on or approve Board resolutions, Consent Agenda items, and other initiatives.
The surveys module allows the user to send out D&O Questionnaires, Conflicts of Interest, Board/Committee Performance Evaluations, Self Evaluations, and general questionnaires. Using the Surveys module, administrators are able to build any form of survey in Directors Desk. Once the survey is built, they tell the system who the respondents are, then send out the survey announcement emails. Once the user begins filling out the online questionnaires, the survey administrator can see the results immediately. Survey reports then automatically collate the reports, providing statistical information and even graphical representations of the response sets.
